Client terms of business
These terms set out the basis on which KHL Consulting Ltd (“we”, “us”, “our”) works with you. They apply to our consultancy, our mentoring, and our self-paced courses, and they stay the same for every client. The specifics of any consultancy or mentoring – what we will do, by when, and for what fee – are set out separately in our proposal for you, which is read together with these terms. Please read both before we start work, or before you buy a course. If we have agreed something different in writing, that takes priority.
1. About us
KHL Consulting Ltd is a company registered in England and Wales (company number 15180378), with its registered office at 54 Stakes Hill Road, Waterlooville PO7 7LB. You can contact us at karen@khlconsulting.co.uk.
2. What we do
- Consultancy: higher education consultancy.
- Mentoring: one-to-one or group mentoring.
- Courses: self-paced online courses we have developed for higher education consultants.
For consultancy and mentoring, the exact scope, deliverables and timeline are set out in our proposal for you. Anything not set out there is not included unless we agree it separately in writing.
3. Your responsibilities
To do our best work, we rely on you to give us accurate and complete information, reasonable access to the people and materials we need, and timely feedback. Delays or gaps on your side may affect timescales and cost.
4. Fees and payment
The fee for your work, and how it will be invoiced, are set out in our proposal. Depending on the work, we invoice monthly for ongoing clients, at agreed milestones for projects, or on completion for smaller pieces of work. Unless we agree otherwise, payment is due on receipt of our invoice. We may charge interest on late payment at the statutory rate (currently 8% above the Bank of England base rate). Reasonable expenses agreed in advance are charged in addition. Course fees are payable when you buy the course.
5. Self-paced courses
When you buy a course, we give you a personal, non-transferable link to access and use it for your own learning. You may not share, copy, resell or distribute the course or its materials.
If you are buying as an individual, you normally have 14 days to change your mind. Our courses are digital content that you can use as soon as you receive your access link. By opening or accessing the course within that period, you agree that you lose this right. Once you have accessed the course, the fee is non-refundable. None of this affects your legal rights if a course is faulty or not as described.
Our courses reflect our understanding and the regulatory position at the time they were recorded and this may change over time. They are for general learning rather than tailored advice for your own specific circumstances, so any decisions you take based on them are your own and we cannot accept responsibility for their outcome.
6. Intellectual property
We keep ownership of our methods, materials, templates and courses, and of anything we create in the course of our work, unless we agree otherwise in writing. For consultancy and mentoring deliverables, we give you a licence to use them for your own internal business purposes. You keep ownership of any materials you give us.
7. Confidentiality
Each of us will keep the other’s confidential information private and use it only for the work, except where we are required to disclose it by law.
8. Data protection
We handle personal data in line with UK data protection law (the UK GDPR and the Data Protection Act 2018). Our privacy notice at khlconsulting.co.uk/privacy-policy explains what we collect and why.
9. Our use of AI
We use artificial intelligence (AI) tools to support our work across consultancy, mentoring, and courses, for example, in research, drafting, and analysis. We use paid tools rather than free public ones, with the setting that lets them learn from your data turned off, so your information is kept secure and not used to train AI models. We always review AI-assisted work before it reaches you, and we remain fully responsible for everything we deliver. Our professional judgement – including our interpretation of regulatory requirements and the advice we give you – is our own and does not rest on any tool. Any personal or confidential information is handled within these tools in line with the confidentiality and data protection sections above. If you would prefer that we did not use AI tools on your work, please tell us before we agree the proposal, as it may affect the scope, timeline or fee we can offer.
10. Our responsibility to you, and its limits
We will carry out our work with reasonable care and skill. There are some sensible limits on what we are responsible for:
- We are not liable for indirect or knock-on losses – for example lost profits, lost opportunities or reputational harm.
- Our total liability to you for anything arising from our work is capped at £1,000,000, in line with the cover under our professional indemnity insurance.
- We do not limit our liability for death or personal injury caused by our negligence, for fraud, or for anything else the law does not allow us to limit.
If you are a consumer, these limits apply only so far as the law allows and do not affect your statutory rights.
11. No guaranteed outcomes
Our advice, mentoring and courses are based on our professional judgement and experience. Where we support you with a regulatory application – for example registration with the Office for Students, or an application for degree-awarding powers – the decision rests solely with the relevant regulator or authority, not with us. We cannot and do not guarantee any particular result, approval, registration, timeline or other regulatory outcome. You remain responsible for your own regulatory compliance and for the accuracy and completeness of anything you submit. Our courses are provided for educational purposes “as is”.
12. Not legal advice
We provide consultancy, advisory and training support. We are not a law firm, and nothing we provide is legal advice or should be relied on as legal advice. Where a matter calls for legal advice – for example the interpretation of regulations or your legal obligations – you should obtain your own independent advice from a suitably qualified professional.
13. Professional indemnity insurance
We hold professional indemnity insurance. We can confirm the details on request.
14. Ending our work together
Either of us can end a consultancy or mentoring engagement by giving one month’s written notice. If you end early, you will pay for the work done up to that point. Course access ends as set out when you bought it.
15. Governing law and jurisdiction
KHL Consulting Ltd is registered in England and Wales and works from the United Kingdom. These terms, and any work we do for you, are governed by the law of England and Wales. You agree that any dispute or claim is subject to the exclusive jurisdiction of the courts of England and Wales. If you are a consumer based elsewhere, you may have additional rights under your local law.
16. General
These terms, together with our proposal for you, form the whole agreement between us. If we agree any change, we will put it in writing. If part of these terms cannot be enforced, the rest still applies. No one other than you and us has any rights under these terms.
